The concept of unjustified tax benefit was introduced by the resolution of Plenum of the Supreme arbitration court (SAC) dated 12 October 2006. After the entry into force of the new article 54.1 of the Tax code remained an open question — to what extent the tax authorities will use the rules developed by the Plenum. "There are certain Civil code cases, which provide for the transfer of rights under the transaction without the consent of the partner, e.g. assignment," explains the head of the tax practice of the law group "Yakovlev and partners" Ekaterina Leonenkova. In addition, the involvement of third parties can be provided in advance in the contract. But in any case the transfer of rights under the transaction must have a clear business goal, warns the lawyer.

But the problem is that in determining the number of affiliates, the tax authorities sometimes went far beyond the law. This led to fines, even in cases when the transaction was clearly identified business purpose. "In our practice there was a case when the contractors were recognized as affiliated on the grounds that earlier between them had been concluded long-term loan agreements and lease agreements," says Zykov. The rejection of such practices will positively affect the interaction between business and tax authorities, said the lawyer.
